Welcome to Edge Investment Management. This document outlines the legally binding Terms and Conditions (“Terms”) for your participation in Edge Investment Management’s platform and services. By accessing or using our services, you agree to these Terms. Please review carefully, and consult a financial advisor if needed.
• Platform Use: These Terms govern your use of Edge Investment Management’s website, services, and applications. By using the platform, you acknowledge and agree to these Terms.
• Updates to Terms: Edge Investment Management reserves the right to amend these Terms at any time, with changes effective as of the date posted. You are responsible for reviewing these Terms periodically.
Minimum Lock-Up Period: All initial deposits are subject to a lock-up period of 3 months, during which time withdrawals are generally not permitted. However, redemptions may be requested during this period, subject to a 5% withdrawal fee.
Withdrawal/Redemption Terms:
Notice Period for Redemption: A 30-day notice is required before any redemption, allowing the Investment Manager to manage cash flows, open positions and reduce liquidity impact.
Redemption Frequency and Limits: Redemptions are permitted quarterly to manage fund liquidity and minimize the effects of frequent liquidity demands.
Minimum Investment Requirement: The minimum deposit for new investors is $25,000.
Additional Investments Minimum: Additional deposits after the initial investment have a minimum requirement of $10,000.
Fees: Edge Investment Management charges a 2% management fee on assets under management, along with a 20% performance fee on net profits, calculated withdrawal of profits. Additional transaction or gas fees may apply.
Deposit Methods and Rules:
On-Chain Deposits:At present, Edge Investment Management accepts only cryptocurrency deposits in stablecoins on Arbitrum Chain.
Future Deposit Methods: Future deposit options may include bank wire transfers from verified accounts. Cash and other forms of payment are not accepted.
Rejection Rights: Edge Investment Management reserves the right to reject deposits that do not meet internal criteria or compliance standards.
Jurisdictional Requirements: Certain jurisdictional restrictions apply based on investors’ country of residence and KYC/AML compliance requirements.
KYC Documentation: Investors must submit identification documents to confirm their identity, a requirement necessary in digital regulatory environments to mitigate risk.
AML Screening: Edge Investment Management conducts due diligence to ensure that deposits are not linked to illicit activities. Documentation on the source of funds may be required to comply with Anti-Money Laundering (AML) standards.
Cryptocurrency Market Volatility: Due to high market volatility, cryptocurrency investments may experience significant price fluctuations, potentially resulting in large drawdowns.
Risk of Loss of Principal: Cryptocurrency and futures trading involve significant risks, and investors could lose their entire investment.
No Guarantee of Profit: Investors acknowledge that profits are not guaranteed, and losses could exceed initial deposits.
Eligibility and Accreditation: Edge Investment Management services are restricted to accredited investors who meet legal eligibility requirements. By agreeing to these terms and conditions you certify that you meet these requirements.
Account Security: Investors are responsible for maintaining account security and confidentiality of credentials. Any unauthorized access must be reported to Edge Investment Management immediately.
Investment Risks: Due to the speculative nature of cryptocurrency markets, investments may result in partial or total loss. Edge Investment Management is not liable for market losses.
Smart Contract Risks: While Edge Investment Management employs security protocols, smart contract vulnerabilities may still exist. Edge Investment Management is not liable for losses due to unforeseen smart contract risks.
Custodial Risks: If third-party custodians are used for asset storage, Edge Investment Management is not responsible for losses from custodial failure or security breaches.
Platform Content and Licensing: All content on Edge Investment Management’s platform is proprietary, licensed solely for lawful, personal use. Users agree not to copy, distribute, or modify content without permission.
Prohibited Activities: Unauthorized activities, such as data scraping, impersonation, and breaching security measures, are prohibited and may lead to account suspension or termination.
Subscription-Based Services: Edge Investment Management reserves the right to offer subscription services in the future. Payment terms, renewal processes, and cancellation policies will be outlined in any related agreements.
Refund Policy: Fees, including management and performance fees, are non-refundable. Transaction fees may apply to certain withdrawals or deposits.
External Links Disclaimer: Edge Investment Management may link to third-party websites, but is not responsible for the content, privacy policies, or services provided on these sites. Your use of these third-party sites is at your own risk.
Limitation of Liability: Edge Investment Management is not liable for indirect, consequential, incidental, or special damages arising from your use of the platform.
Indemnification: You agree to indemnify and hold Edge Investment Management harmless from any claims, damages, or liabilities arising from your actions on the platform, except in cases of Edge Investment Management’s negligence.
Binding Arbitration: All disputes related to these Terms shall be resolved by binding arbitration, administered in accordance with designated rules, e.g., the JAMS Comprehensive Arbitration Rules. Class action claims are expressly waived, and arbitration will be conducted on an individual basis.
Informal Dispute Resolution: Before arbitration, users agree to seek informal resolution by contacting Edge Investment Management support. Any arbitration shall occur in the Cayman Islands unless both parties agree to a different location.
Arbitration Confidentiality: Arbitration proceedings are confidential, and neither party may disclose the existence, content, or results of arbitration, except as required by law.
Electronic Communications Consent: By using Edge Investment Management, you consent to electronic delivery of notices and other communications.
Data Protection and Privacy: Edge Investment Management’s Privacy Policy outlines how personal data is protected and processed. Confidentiality of sensitive financial information is a priority.
Termination of Access: Edge Investment Management reserves the right to suspend or terminate accounts due to non-compliance, security concerns, or unpaid fees.
Modifications to Services: Edge Investment Management may modify or discontinue services or platform features without notice.
Jurisdiction: These Terms are governed by the laws of the Cayman Islands. Disputes outside arbitration are subject to the jurisdiction of courts in the specified jurisdiction.
Jurisdictional Compliance: Investors are required to comply with applicable legal requirements of their country of residence. Certain jurisdictions may be restricted based on regulatory compliance and KYC limitations. Edge Investment Management reserves the right to deny access to individuals from restricted jurisdictions.
